# Terms of Service for FoodPerfect.ai

**Last Updated: October 16, 2026**

These Terms of Service ("Terms") are a legally binding agreement between you and **Georgy Bdoyan, operating as FoodPerfect** [TBD: legal form and registration number, e.g. "an individual entrepreneur registered in Georgia, ID No. ..."], with its registered address at [TBD: registered address] ("FoodPerfect," "we," "us," "our"). They govern your access to and use of FoodPerfect.ai, including the web app at [app.foodperfect.ai](https://app.foodperfect.ai), our websites, the FoodPerfect MCP server and API, and any related services (together, the "Service").

By creating an account, clicking to accept these Terms, or using the Service, you agree to these Terms. If you use the Service on behalf of a business or other organisation, "you" means that organisation, and you confirm that you are authorised to bind it.

**PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE LIMITATIONS OF LIABILITY (SECTION 16), AN INDEMNITY (SECTION 17), AND A DISPUTE RESOLUTION CLAUSE WITH A CLASS ACTION WAIVER (SECTION 18).**

These Terms incorporate the following documents, which also apply to you:
- [Billing and Refund Terms](/legal/subscription-terms.md): plans, your USD balance, top-ups, renewals, cancellations, and refunds
- [Acceptable Use Policy](/legal/acceptable-use-policy.md): what you may and may not do with the Service
- [AI Content Policy](/legal/ai-content-policy.md): how AI generation works, labelling, and the rules of our AI providers
- [Privacy Policy](/legal/privacy-policy.md): how we handle personal data
- [Data Processing Addendum](/legal/dpa.md): applies where we process personal data on your behalf as your processor
- [Subprocessors](/legal/subprocessors.md): the third parties that help us run the Service

---

## Key Points

This summary is for convenience only. The full Terms below govern.

- FoodPerfect is an AI-native social media service for food businesses. The work is done by software and AI models, not by a team of human marketers, unless you have a separate Enterprise agreement that says otherwise.
- You own the content you upload and, as between you and us, the content the Service generates for you.
- **You are responsible for everything published or sent under your social accounts**, including content published automatically by autopilot or direct publishing, and replies sent by AI.
- You pay through a prepaid usage balance shown in US dollars. Paddle is our reseller and Merchant of Record for all payments.
- Social platforms (Instagram, Facebook, TikTok, LinkedIn) have their own rules, which you must follow. They can change their APIs or restrict your account at any time, and we do not control them.
- API keys and AI agents you connect act as you. Keep your keys secret.

---

## 1. Eligibility and Accounts

### 1.1 Eligibility
To use the Service you must be at least 18 years old and able to form a binding contract. The Service is designed for businesses, including restaurants, cafés, bakeries, food producers, delivery brands, and the agencies and freelancers who work for them. You must not use the Service if you are barred from doing so under applicable law, including sanctions laws (see Section 20.7).

### 1.2 Your Account
You must give accurate registration information and keep it up to date. You are responsible for keeping your login credentials secure and for all activity under your account, including activity by anyone you give access to and by any API key or AI agent you authorise. Tell us immediately at **security@foodperfect.ai** if you suspect unauthorised access.

### 1.3 One Brand per Account
Each Starter, Growth, or Scale account covers one brand. Agencies and freelancers can manage client brands with a separate account for each brand, or on an Enterprise plan that covers several brands or locations. Free trial balance and promotions are limited to one per person and business. Creating multiple accounts to obtain additional trials or promotions is not allowed.

---

## 2. The Service

### 2.1 What FoodPerfect Does
FoodPerfect runs social media marketing for food businesses using AI. Depending on your plan and the features available at the time, the Service can:
- **Analyse your brand** from your website, your social accounts, and the reference accounts, notes, and assets you provide, and produce a brand profile (your "Brand DNA")
- **Build a content strategy** and posting schedule
- **Generate content**: food photos, social posts and captions, menus, promotional graphics, videos, reels, and background music for reels
- **Schedule and publish** content to connected Instagram, Facebook, TikTok, and LinkedIn accounts, either as drafts for you to finish on the platform or directly
- **Research content ideas**: find trending videos and posts from public sources and from accounts you choose, for use as references, reel hooks, or, where you confirm you have the rights, as content
- **Run on autopilot**: generate upcoming posts and reels on a recurring basis and, if you choose, publish approved content automatically
- **Respond to your audience**: collect comments and direct messages in one inbox, draft AI replies, send replies with your approval or automatically, and hide, unhide, or delete comments
- **Connect AI agents** to your account through the FoodPerfect MCP server and API, documented at [foodperfect.ai/docs](https://foodperfect.ai/docs/)

### 2.2 AI Providers
The Service uses third-party AI models, including text models from DeepSeek, MiniMax, and Google, and image, video, and music models from OpenAI, xAI, ByteDance, MiniMax, and others, all reached through our inference provider. We may add, replace, or remove models at any time to maintain or improve the Service. Model changes can change the style, quality, speed, or price of outputs. The current list of providers is on our [Subprocessors](/legal/subprocessors.md) page.

### 2.3 No Guaranteed Results
We do not guarantee any particular marketing outcome, such as follower growth, reach, engagement, bookings, or revenue. Social media performance depends on many factors outside our control, including platform algorithms.

### 2.4 Beta and Upcoming Features
Features labelled "beta," "preview," "early access," or "coming soon" are provided as is, may be incomplete, and may change or be withdrawn. We may charge for a beta feature once it is generally available, with notice.

### 2.5 Changes to the Service
We continually change the Service. We may add, modify, or remove features. If we remove a material paid feature that you are actively using, we will give you reasonable notice where practical. Where the removal significantly reduces what you paid for, you may cancel, and we will handle any unused top-up balance as described in the Billing and Refund Terms.

---

## 3. Your Content

### 3.1 What Counts as Your Content
"Your Content" means everything you or your agents provide to the Service: uploaded photos, logos, menus, fonts, videos, reference images, prompts, brand notes, business information, the website and social handles you ask us to analyse, and, when you use inbox features, the comments and messages received by your connected accounts.

### 3.2 You Keep Ownership
You keep all rights you have in Your Content. We do not claim ownership of it.

### 3.3 Licence to Us
You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit, adapt (for example resize, crop, or reformat), and display Your Content, and to send it to our service providers (including AI model providers and our social publishing provider), **only as needed to provide, secure, and support the Service for you**, and as required by law. This licence ends when Your Content is deleted from the Service, except for copies retained in backups or for legal reasons as described in our Privacy Policy, and except for content already published to a social platform at your direction.

### 3.4 No Training on Your Content
We do not use Your Content or your Outputs to train or fine-tune AI models. We use AI providers under terms that do not permit them to train their models on the data we send through their APIs. We may use aggregated, de-identified usage statistics (for example, which features are used and how often) to operate and improve the Service.

### 3.5 Your Promises About Your Content
You represent and warrant that:
- You own Your Content or have all the rights, licences, and permissions needed to use it with the Service and to publish it, including permissions from photographers, designers, and any identifiable people shown
- Your Content, and your use of the Service, does not infringe anyone's intellectual property, publicity, or privacy rights, or break any law
- If you ask us to analyse a website or social account you do not control, you are entitled to use it as a reference and will not use the Service to copy it
- If you select third-party material found through the Service (for example another account's post or image, or a trending video) and use it as a reference, a reel hook, or content to publish, you have the rights needed for that use. **Marking such material as cleared for publishing is your confirmation that you hold those rights**, and you are responsible for any claim that follows

---

## 4. AI-Generated Outputs

### 4.1 Ownership of Outputs
"Outputs" means the images, videos, captions, menus, strategies, replies, and other material the Service generates for you. As between you and us, and to the extent permitted by law, **you own the Outputs**, and we assign to you any rights we may have in them. You may use Outputs for any lawful personal or commercial purpose, including publishing them, printing them, and using them in advertising, subject to these Terms and the AI Content Policy.

### 4.2 Limits of AI
You understand that:
- AI-generated material may not be protected by copyright in some countries, so others may be able to reuse it
- Outputs are not unique. Similar or identical Outputs may be generated for other users, and we do not give you exclusive rights in those
- Outputs may contain errors, including wrong text, prices, ingredients, allergens, or dish details, distorted logos, or visual artefacts
- AI models can produce content that resembles existing works, brands, or people

### 4.3 Your Review Responsibility
**You are responsible for reviewing Outputs before you use or publish them**, and for checking that they are accurate, lawful, and suitable, including allergen, nutrition, price, and health information, and any claims about your food. Do not rely on Outputs as professional, legal, or health advice.

### 4.4 Our Rights in the Service
We and our licensors own the Service, including its software, model configurations, prompts, templates, design, and branding. Except for the rights expressly granted in these Terms, we grant you no rights in the Service. Templates, styles, and preset assets we provide are licensed to you for use within Outputs, not for separate resale.

### 4.5 Feedback
If you send us suggestions or feedback, we may use them without restriction or payment to you.

---

## 5. Connected Social Accounts

### 5.1 Connecting Accounts
To publish, you connect your social accounts through the platforms' own authorisation (OAuth) screens. Connections are managed by our social publishing provider, Zernio, which holds the resulting access tokens on our behalf. You must only connect accounts that you own or are authorised to manage.

### 5.2 Your Authorisation
By connecting an account, you authorise us, and our service providers acting for us, to access that account within the permissions you grant, and to create drafts, schedule, publish, edit, or delete posts, retrieve performance data and, where you enable the inbox, read and reply to comments and direct messages, send private replies to people who comment, and hide, unhide, or delete comments, **on your behalf and according to your settings and instructions**. You can disconnect an account at any time in the app or from the platform's own settings. Disconnecting stops future actions but does not remove content already published.

### 5.3 Platform Terms Apply
Your use of each platform through the Service is also governed by that platform's terms and policies, which you agree to follow:
- **Instagram and Facebook**: [Instagram Terms of Use](https://help.instagram.com/581066165581870), [Meta Terms of Service](https://www.facebook.com/terms.php), [Meta Community Standards](https://transparency.meta.com/policies/community-standards/), Meta's [Branded Content Policies](https://www.facebook.com/policies_center/branded_content), and, when you add music from Instagram's library, Meta's [Music Guidelines](https://www.facebook.com/legal/music_guidelines)
- **TikTok**: [TikTok Terms of Service](https://www.tiktok.com/legal/terms-of-service), [Community Guidelines](https://www.tiktok.com/community-guidelines), and, when you post to TikTok, TikTok's [Music Usage Confirmation](https://www.tiktok.com/legal/page/global/music-usage-confirmation/en) and [Branded Content Policy](https://www.tiktok.com/legal/page/global/bc-policy/en)
- **LinkedIn**: [LinkedIn User Agreement](https://www.linkedin.com/legal/user-agreement) and [Professional Community Policies](https://www.linkedin.com/legal/professional-community-policies)

FoodPerfect is not affiliated with, endorsed by, or sponsored by Meta, Instagram, Facebook, TikTok, or LinkedIn. Their names and logos are their trademarks.

### 5.4 Music
Music from a platform's own library is licensed by that platform, not by us, and is subject to its music terms. Which tracks are available depends on the platform, your account type (business accounts often have a smaller library), and your region. If a selected track is unavailable when a post is published, the post may be published without it, or the platform may mute or remove the audio later. Background music that the Service generates with AI is an Output under Section 4.

### 5.5 Platforms Are Outside Our Control
Platforms can change or withdraw their APIs, change what content is allowed, rate-limit, reject, or remove posts, and restrict or suspend accounts at any time. We are not responsible for platform actions or outages, or for any resulting loss of reach, content, followers, or revenue. If a platform change makes a feature unavailable, we may modify or discontinue that feature (see Section 2.5).

---

## 6. Publishing, Scheduling, and Autopilot

### 6.1 Publishing Modes
You control how content reaches your accounts:
- **Draft mode** (the default): the Service sends content to the platform's own draft or inbox, or holds it for you to download and post, so that you publish it yourself.
- **Direct mode**: the Service publishes approved posts to your connected account at their scheduled time without further action from you.
- **Publish now**: the Service publishes the selected content immediately when you ask it to.

### 6.2 Autopilot
Autopilot generates upcoming posts for your approved brand profile on a recurring schedule. Generating content on autopilot spends your balance at the normal unit prices, as described in the Billing and Refund Terms. Posts created by autopilot are published automatically only if you have approved them (or set them up to be approved) and switched on direct publishing. Reels autopilot works the same way for reels: it researches trends, writes and renders reels, and schedules them, spending your balance at the normal unit prices. You can pause the schedule or switch autopilot off at any time.

### 6.3 Your Consent and Responsibility
**When you switch on direct publishing, autopilot, bulk generation with scheduling, or an AI agent with publishing permissions, you instruct and authorise us to publish content under your accounts without further review.** You accept that:
- **You are solely responsible for all content published, scheduled, or sent under your connected accounts**, whether you wrote it, AI generated it, or an agent created it, and whether or not you reviewed it before it went out
- You should check your content calendar regularly and remove or edit anything you do not want published
- Content will be published as it stands at the scheduled time, including any errors it contains

### 6.4 Delivery Is Not Guaranteed
We work to publish at the scheduled time, but publishing depends on the platforms and our providers. Posts may be delayed, published in a different format, or fail, for example because a token expired, a platform rejected the media, an API was down, or a post missed its scheduling window. We will show failures in the app where we can, and may retry. **We are not liable for posts that are late, fail, or are published incorrectly because of reasons outside our reasonable control**, including platform rejections and outages. Do not rely on the Service for time-critical announcements, such as food safety notices or recalls.

### 6.5 Deleting and Editing
Deleting a post in FoodPerfect may not delete it from the platform, and editing published content may not be possible through the API. You can always manage published content directly on the platform.

---

## 7. Comments, Messages, and AI Replies

### 7.1 How They Work
When you enable the inbox, the Service retrieves comments and direct messages received by your connected accounts, classifies them, and drafts replies in your brand voice. You can send each reply yourself, hide, unhide, or delete comments, and send a private reply to a commenter where the platform allows it. Automatic replies (autopilot) are off until you switch them on. When they are on, the Service sends AI replies without human review, within the rules you set, and holds back messages it is not confident about or that match the topics you mark for a human, such as complaints.

### 7.2 Your Consent and Responsibility
**By switching on automatic replies, you instruct us to send messages in your name.** You are responsible for every reply sent from your accounts, including AI replies. You must configure the feature so that it does not make commitments you cannot keep (for example discounts, bookings, refunds, or allergy and dietary assurances), and you must hand conversations to a human when a customer needs one.

### 7.3 Platform Messaging Rules
You must use messaging features only within the platforms' messaging windows and permitted purposes, and not send unsolicited promotional messages. Where the law or a platform requires people to be told that they are interacting with an AI system (for example under Article 50 of the EU AI Act), you must make sure they are told, for example in your reply rules or your profile. We may add a short AI notice to automatic replies; where we do, you must not remove or hide it. Some platforms limit automated activity, and we may require human approval of replies on those platforms. See the Acceptable Use Policy.

### 7.4 AI Can Misjudge Messages
The Service can misread a message, miss a complaint or an allergy question, or classify a message wrongly, so a message may be answered automatically when you would have wanted to answer it yourself, or held back when it could have been answered. Review your inbox regularly and set your rules to hand sensitive topics to a person.

### 7.5 Your Customers' Data
Comments and messages contain personal data of your customers. You are the controller of that data and we process it on your behalf under our [Data Processing Addendum](/legal/dpa.md). You are responsible for having a lawful basis to process it and for telling your customers, in your own privacy notice, that you use third-party tools to manage messages.

---

## 8. MCP Server, API, and AI Agents

### 8.1 Access
We may provide programmatic access to your account through the FoodPerfect MCP server, API, and related documentation (the "API"), so that you can use the Service from AI agents and other software, such as Claude, ChatGPT, Codex, or agent platforms. The API, its tools, prices, and limits are described in our developer documentation at [foodperfect.ai/docs](https://foodperfect.ai/docs/). API access may be limited to certain plans.

### 8.2 API Keys
You create API keys in your account settings. Each key can be limited to specific permissions (scopes), set to expire, and revoked at any time. You must:
- Keep keys confidential and store them securely. Never publish them or embed them in client-side code
- Grant only the scopes an agent needs
- Revoke a key immediately if you think it has been exposed

We store only a hashed form of each key and cannot show it to you again after it is created.

### 8.3 Agents Act for You
**Any request made with your API key is treated as made by you.** This includes generations that spend your balance, posts scheduled or published, and content deleted. Some sensitive actions, such as publishing or deleting, require an additional approval step. The approval token is returned to the agent that made the request, so it is your responsibility to set up your agent to ask you, or another authorised person, before confirming. You must not bypass that step or configure an agent to confirm on its own. We are not responsible for actions an agent takes within the permissions you granted, including actions based on instructions the agent misread or received from third-party content (for example, prompt injection).

### 8.4 Third-Party Agents
AI agents and agent platforms that you connect are third-party services. Their providers' terms and privacy policies govern how they handle the data they receive from the Service. We are not responsible for them.

### 8.5 Limits and Changes
We may apply rate limits, quotas, and approval requirements. We may change or version the API and will try to give reasonable notice of breaking changes. There is no service level commitment for the API unless an Enterprise agreement says otherwise. We may suspend a key that endangers the Service, its users, or its providers.

---

## 9. Fees and Payment

### 9.1 Usage Balance and Plans
The Service is paid through a prepaid usage balance shown in US dollars. Each generation spends a unit price that depends on your plan. Your plan's monthly allowance resets at each renewal and does not roll over. Top-up packs do not expire. Your usage balance is a prepayment for the Service only. It is not money, e-money, or a deposit, and it cannot be transferred or exchanged for cash, except for refunds under the Billing and Refund Terms. The details are in the [Billing and Refund Terms](/legal/subscription-terms.md).

### 9.2 Paddle Is Our Reseller
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. When you buy, you also agree to Paddle's [Buyer Terms](https://www.paddle.com/legal/checkout-buyer-terms), and Paddle processes your payment data under its own [Privacy Policy](https://www.paddle.com/legal/privacy).

### 9.3 Taxes
Paddle calculates and collects applicable sales tax, VAT, or GST as part of your purchase.

---

## 10. Acceptable Use and Fair Use

You must comply with our [Acceptable Use Policy](/legal/acceptable-use-policy.md) and [AI Content Policy](/legal/ai-content-policy.md). Features included in your plan without a per-unit charge (such as brand analysis, strategy, caption regeneration, scheduling, and publishing) are subject to the fair use rules in the Acceptable Use Policy.

---

## 11. Privacy and Data Protection

Our [Privacy Policy](/legal/privacy-policy.md) explains how we handle personal data when we act as a controller, for example your account and billing data. Where we process personal data on your behalf, such as your customers' comments and messages, the [Data Processing Addendum](/legal/dpa.md) applies and forms part of these Terms.

---

## 12. Copyright and Intellectual Property Complaints

We respect intellectual property rights. If you believe content created or published with the Service infringes your rights, send a notice to **legal@foodperfect.ai** that includes:
- Your name and contact details, and your signature (typed is fine)
- A description of the work you believe is infringed
- A link to, or description of, the infringing material and where it appears
- A statement that you believe in good faith that the use is not authorised by the rights holder, its agent, or the law
- A statement, under penalty of perjury, that your notice is accurate and that you are the rights holder or authorised to act for them

We may remove content, pause publishing, and terminate the accounts of repeat infringers. Content already published to a social platform must also be reported to that platform.

---

## 13. Suspension and Termination

### 13.1 By You
You can stop using the Service at any time. You can cancel your subscription as described in the Billing and Refund Terms, and ask us to delete your account by emailing **support@foodperfect.ai**.

### 13.2 By Us
We may suspend or terminate your access to all or part of the Service (including autopilot, publishing, AI replies, or API keys) if:
- You materially breach these Terms, the Acceptable Use Policy, or the AI Content Policy
- Your payment fails or is charged back
- A social platform or AI provider requires us to, or your use puts our access to a platform or provider at risk
- We must do so by law, or your use creates a security, legal, or reputational risk for us, other users, or third parties

Where reasonable, we will give you notice and a chance to fix the problem first. We may act immediately in serious cases, such as illegal content, fraud, security threats, or harm to others.

### 13.3 Discontinuing the Service
We may discontinue the Service with at least 30 days' notice. In that case we will refund any unused top-up balance.

### 13.4 Effect of Termination
When your account ends:
- Your access ends, scheduled posts will not be published, and autopilot, AI replies, and API keys stop working
- Unused balance is handled as described in the Billing and Refund Terms
- You should download any Outputs you want to keep before closing your account. We will delete your data as described in the Privacy Policy
- Sections 3.3 (as needed for retained copies), 4, 6.3, 7.2, 8.3, and 12 to 20 survive termination

---

## 14. Third-Party Services

The Service relies on and links to third-party services, including social platforms, AI providers, payment providers, and AI agents you connect. We are not responsible for third-party services, and your use of them may be governed by their terms. The availability of the Service may depend on them.

---

## 15. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUTS ARE PROVIDED **"AS IS" AND "AS AVAILABLE."** WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT OUTPUTS WILL BE ACCURATE, UNIQUE, OR FREE OF THIRD-PARTY RIGHTS, OR THAT POSTS WILL BE PUBLISHED ON TIME OR ACCEPTED BY A PLATFORM.

Nothing in these Terms excludes warranties or rights that cannot be excluded by law, including your statutory rights as a consumer where they apply.

---

## 16. Limitation of Liability

### 16.1 Excluded Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, REPUTATION, FOLLOWERS, DATA, OR CONTENT, OR FOR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF WE WERE ADVISED OF THE POSSIBILITY.

### 16.2 Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF **(A) THE AMOUNTS YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM**, AND **(B) USD 100**.

### 16.3 Exceptions
These limitations do not apply to liability that cannot be limited by law, such as liability for death or personal injury caused by negligence, or for fraud or wilful misconduct. If you are a consumer, they do not affect your mandatory statutory rights.

---

## 17. Indemnification

If you use the Service for business purposes, you will defend, indemnify, and hold harmless FoodPerfect, its owner, and its service providers from and against any third-party claims, and the resulting losses, damages, fines, and reasonable legal costs, arising from:
- Your Content, or content published or sent under your accounts through the Service
- Your breach of these Terms, the Acceptable Use Policy, the AI Content Policy, or a social platform's terms
- Your violation of any law or of any third party's rights
- Actions taken with your account or API keys

We will notify you of the claim, let you control its defence (though we may join with our own counsel at our cost), and cooperate reasonably.

---

## 18. Disputes and Governing Law

### 18.1 Informal Resolution
Before starting a formal claim, please contact **legal@foodperfect.ai** and give us 30 days to try to resolve the dispute informally.

### 18.2 Governing Law
These Terms are governed by the laws of [TBD: Georgia], without regard to its conflict of law rules. The UN Convention on Contracts for the International Sale of Goods does not apply.

### 18.3 Arbitration
Except as set out in Section 18.5, any dispute arising out of or relating to these Terms or the Service will be finally resolved by binding arbitration by a single arbitrator, in English, seated in [TBD: Tbilisi, Georgia], under [TBD: the rules of the arbitral institution, e.g. the Georgian International Arbitration Centre (GIAC) Rules]. Judgment on the award may be entered in any competent court.

### 18.4 Class Action Waiver
TO THE EXTENT PERMITTED BY LAW, YOU AND WE MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

### 18.5 Exceptions and Consumers
Either party may bring a claim in a small claims court, or seek urgent injunctive relief in any competent court to protect its intellectual property or confidential information. **If you are a consumer in the European Union, the United Kingdom, or another country whose law gives you the right to bring proceedings in your home courts or to rely on mandatory consumer protections of your home country, nothing in this Section 18 takes those rights away.** EU consumers may also use the EU's online dispute resolution resources.

---

## 19. Changes to These Terms

We may update these Terms from time to time. For material changes, we will notify you by email or in the app at least **30 days** before they take effect, unless the change is required sooner by law, by a platform or provider, or to address a security or abuse risk. If you do not agree, you may cancel before the change takes effect. If you continue to use the Service after the change takes effect, you accept the updated Terms. Price changes are governed by the Billing and Refund Terms.

---

## 20. General

### 20.1 Entire Agreement
These Terms and the documents listed at the top of these Terms are the entire agreement between you and us about the Service. If you have a signed Enterprise agreement or order form, its terms prevail over these Terms where they conflict.

### 20.2 Order of Precedence
If these Terms conflict with another document listed above, the more specific document prevails for its subject matter: the Billing and Refund Terms for payments, and the Data Processing Addendum for personal data we process for you.

### 20.3 Assignment
You may not assign or transfer these Terms without our written consent. We may assign them to an affiliate or to a successor in a merger, acquisition, or sale of assets, or to a company we set up to operate the Service, with notice to you.

### 20.4 Force Majeure
We are not liable for delay or failure caused by events beyond our reasonable control, including platform or provider outages or API changes, internet failures, acts of government, natural disasters, war, or labour disputes.

### 20.5 Severability and Waiver
If a provision is found unenforceable, it will be enforced to the maximum extent possible and the rest remains in effect. Failing to enforce a right is not a waiver of it.

### 20.6 Notices
We may send you notices by email to your account address or in the app. You can send notices to **legal@foodperfect.ai**.

### 20.7 Export Controls and Sanctions
You must comply with applicable export control and sanctions laws. You confirm that you are not located in, or ordinarily resident in, a comprehensively sanctioned country or region, and are not on any government list of restricted parties.

### 20.8 Relationship
We are independent contractors. These Terms do not create a partnership, employment, or agency relationship, except that you appoint us as your agent for the limited purpose of performing actions on your connected accounts that you authorise under Sections 5 to 8.

### 20.9 No Third-Party Beneficiaries
These Terms do not give rights to any third party.

### 20.10 Language
These Terms are written in English. If we provide a translation, the English version prevails to the extent permitted by law.
